Terms & Conditions Policy
1. Introduction
These Terms and Conditions (“Terms”) govern the use of services provided by GoToCatalyst Consulting (“Company”, “we”, “us”, or “our”).
By engaging our services or making a payment, you (“Client”, “you”) agree to these Terms.

2. Nature of Services
GoToCatalyst provides AI-native Go-To-Market (GTM) consulting and system implementation services, including but not limited to:
AI outbound system design and execution
account-based marketing (ABM) systems
GTM strategy and infrastructure
content and authority systems
Services are delivered as professional consulting and system execution engagements, not as productized software or guaranteed outcome-based services.

3. Engagement and Scope
The scope of services is defined in:
Master Services Agreement (MSA), or
Statement of Work (SOW), or
written agreement between both parties
Any services outside the agreed scope will require separate agreement and pricing.

4. Fees and Payments
All services are billed on a retainer or project basis, as agreed with the Client.
Payments must be made in accordance with agreed invoicing terms.
Payments may be processed via bank transfer, payment gateway, or card payments.
Any applicable transaction fees, currency conversion charges, or taxes may be borne by the Client unless agreed otherwise.
Failure to make payments on time may result in pause or suspension of services.

5. Client Responsibilities
The Client agrees to:
provide accurate and timely information
grant required access to tools, systems, and accounts
review and approve deliverables within reasonable timelines
comply with applicable laws related to data usage and communication
Delays in inputs or approvals may impact timelines and outcomes.

6. Third-Party Tools and Platforms
Services may involve the use of third-party tools (e.g., CRM systems, data platforms, outreach tools).
GoToCatalyst is not responsible for:
downtime or performance of such tools
policy changes by platforms
data accuracy from external providers

7. Intellectual Property
GoToCatalyst retains ownership of its methodologies, frameworks, templates, and systems developed independently.
The Client retains ownership of all data, accounts, and outputs generated during the engagement.
The Client may continue to use implemented systems post-engagement.

8. Confidentiality
Both parties agree to maintain confidentiality of all non-public and proprietary information shared during the engagement.

9. Performance Disclaimer
GoToCatalyst applies structured methodologies and best practices to improve GTM performance.
However, outcomes may vary based on:
market conditions
competitive landscape
timing and signal availability
client’s product-market fit
No guarantees are made regarding:
meetings booked
pipeline generated
revenue outcomes

10. Limitation of Liability
GoToCatalyst shall not be liable for:
indirect or consequential losses
loss of revenue, profits, or business opportunities
Total liability, if any, shall not exceed the amount paid by the Client for services in the preceding billing period.

11. Termination
Either party may terminate services as per agreed contract terms.
All dues payable until the termination date must be settled.

12. Governing Law
These Terms shall be governed by the laws of India.
